TERMS OF SERVICE - SHOPODELA
Please read the following terms carefully before using this service
Introduction
This Terms of Service Agreement made between SHOPODELA online service of the first part and You of the second part is subject to these terms, without prejudice to any additional terms which may be part of an agreement specific to the service you wish to avail of. Your agreement with SHOPODELA will always include, at a minimum, the terms and conditions set out in this document.
SHOPODELA sells its own products and acts as a platform to other service - providers.
Usage of our Website:
You may use SHOPODELA website www.shopodela.com for browsing or purchasing of our products. It is for your personal or commercial use. Reproduction of any portion of the website in any form whatever, or to copy our logo, page layouts, images or text, copy or use of our customer data, account data or product data by any means directly or indirectly is not permitted unless written consent. Customers are advised that the actual colors of product on your screen/monitor may slightly vary due to brightness and contrast settings, or color profiles used. Note : Images of actors and actresses are for reference purpose only.
Applicable law
By visiting our web site, you agree that the laws of government and will govern these Terms of Use and any dispute of any sort that might arise, without regard to principles of conflict of law.
Bank & Card Details:
You agree, understand and confirm that the credit card details provided by you for availing of services on shopodela.com will be correct and accurate and you shall not use the credit / debit card which is not lawfully owned by you. You further agree and undertake to provide the correct and valid credit / debit card details. Credit / debit card & other personal details utilized are not shared with any of the third parties unless required by law, regulation or court order.
Accepting the Terms
SHOPODELA shall interact with customers / clients through e-mail and phone call. By clicking a button or checkbox on a website, you accept and agree to the terms, where this option is made available to you by SHOPODELA in the user interface for any product or services.
Security of your Account & Passwords
You agree and understand that you are responsible to SHOPODELA and to third parties for maintaining the confidentiality of passwords associated with any account you use to access. You will be solely responsible for all activities that occur under your account.
SHOPODELA will take due care to ensure the confidentiality of your credentials. You agree and acknowledge that in the very unlikely event of your credentials becoming known to a third party on account of an intrusion into SHOPODELA database, SHOPODELA shall not be made liable for the resulting damages.
If you become aware of any unauthorized use of your password or of your account, you agree to notify the concerned official at SHOPODELA immediately.
Product and services Content
You understand that all information (such as data files, written text, computer software, or images) which you may have access to as part of, or through your use of, the Product and services are the sole responsibility of the person from which such content originated.
You should be aware that content presented to you as part of the Product and services, including but not limited to advertisements and promotional material of SHOPODELA or other companies, is protected by intellectual property rights which are owned by SHOPODELA, or the sponsors or advertisers who provide that content to SHOPODELA (or by other persons or companies on their behalf). SHOPODELA shall not be made responsible for any repugnant content circulated on its Product and services by other users.
On noticing any such content, it is your duty to bring it to the attention of SHOPODELA officials immediately, who will take due care to delete it from the Product and services.
Intellectual Property rights
You acknowledge and agree that SHOPODELA (or SHOPODELA licensors) owns all legal right, title and interest in and to the Product and services, including any intellectual property rights which subsist in the Product and services (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You further acknowledge that the Product and services may contain information which is designated confidential by SHOPODELA and that you shall not disclose such information without SHOPODELA prior written consent.
Unless SHOPODELA has otherwise agreed in writing, nothing in the terms gives you a right to use any of SHOPODELA trade names, trademarks, service marks, logos, domain names, and other distinctive brand features. You additionally agree that in using the Product and services, you will not use any trade mark, service mark, trade name, logo of any company or organization in a way that is likely or intended to cause confusion about the owner or authorized user of such marks, names or logos.
SUBJECT TO OVERALL PROVISION IN CLAUSE ABOVE, YOU EXPRESSLY UNDERSTAND AND AGREE THAT SHOPODELA SHALL NOT BE LIABLE TO YOU FOR:
- ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES WHICH MAY BE INCURRED BY YOU, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY. THIS SHALL INCLUDE, BUT NOT BE LIMITED TO, ANY LOSS OF PROFIT (WHETHER INCURRED DIRECTLY OR INDIRECTLY), ANY LOSS OF GOODWILL OR BUSINESS REPUTATION, ANY LOSS OF DATA SUFFERED, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR PRODUCT AND SERVICES, OR OTHER INTANGIBLE LOSS;
- ANY LOSS OR DAMAGE WHICH MAY BE INCURRED BY YOU, INCLUDING BUT NOT LIMITED TO LOSS OR DAMAGE AS A RESULT OF:
- ANY CHANGES WHICH SHOPODELA MAY MAKE TO THE PRODUCT AND SERVICES, OR FOR ANY PERMANENT OR TEMPORARY CESSATION IN THE PROVISION OF THE PRODUCT AND SERVICES (OR ANY FEATURES WITHIN THE PRODUCT AND SERVICES);
- THE DELETION OF, CORRUPTION OF, OR FAILURE TO STORE, ANY CONTENT AND OTHER COMMUNICATIONS DATA MAINTAINED OR TRANSMITTED BY OR THROUGH YOUR USE OF THE PRODUCT AND SERVICES;
- YOUR FAILURE TO PROVIDE SHOPODELA WITH ACCURATE ACCOUNT INFORMATION;
- YOUR FAILURE TO KEEP YOUR PASSWORD OR ACCOUNT DETAILS

The Product and services may include hyperlinks to other web sites or content or resources. SHOPODELA may have no control over any web sites or resources which are provided by companies or persons other than SHOPODELA.
You acknowledge and agree that SHOPODELA is not responsible for the availability of any such external sites or resources, and does not endorse any advertising, products or other materials on or available from such web sites or resources.
You acknowledge and agree that SHOPODELA is not liable for any loss or damage which may be incurred by you as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, products or other materials on, or available from, such web sites or resources.
Changes to the Terms
SHOPODELA may make changes to the terms from time to time. The same will be communicated to you, on the website, without prior intimation to you. Your continued use of the Product and services will indicate your acceptance of the modified terms. When these changes are made, SHOPODELA shall make the amended copy of the terms available in an accessible location.
You understand and agree that if you use the Product and services after the date on which the terms have changed, or after the date by which you have to respond as per these terms has passed, SHOPODELA will treat your use as acceptance of the amended terms.
General legal terms
Sometimes when you use the Product and services, you may (as a result of, or through your use of the Product and services) use a service or download a piece of software, or purchase goods, which are provided by another person or company. Your use of these other Product and services, software or goods may be subject to separate terms between you and the company or person concerned.
The terms constitute the legal agreement between you and SHOPODELA and govern your use of the Product and services, but without prejudice to any additional terms which may be part of an agreement specific to the service you wish to avail of. (but excluding any Product and services which SHOPODELA may provide to you under a separate written agreement), and completely replace any prior agreements between you and SHOPODELA in relation to the Product and services.
You agree that if SHOPODELA does not exercise or enforce any legal right or remedy which is contained in the terms (or which SHOPODELA has the benefit of under any applicable law), this will not be taken to be a formal waiver of SHOPODELA rights and that those rights or remedies will still be available to SHOPODELA.
If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these terms is invalid, then that provision will be removed from the terms without affecting the rest of the terms. The remaining provisions of the terms will continue to be valid and enforceable.
The terms, and your relationship with SHOPODELA under the terms, shall be governed by the laws of India. You and SHOPODELA agree that any dispute will be referred to arbitration, with the arbitral panel consisting of three arbitrators, one arbitrator being chosen by each party and a third being jointly appointed by the two arbitrators so chosen.
We as a merchant shall be under no liability whatsoever in respect of any loss or damage arising directly or indirectly out of the decline of authorization for any transaction, on Account of the Cardholder having exceeded the preset limit mutually agreed by us with our acquiring bank from time to time
